OVERVIEW

Welcome to Avero Circuits.

The terms “Avero Circuits,” “we,” “us,” and “our” refer to the online store operating under the name Avero Circuits.

Avero Circuits operates this website and online store, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”).

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

These Terms of Service (“Terms”) govern your access to and use of the Services and purchases made through our website.

These Terms incorporate by reference our:

  • Privacy Policy;

  • Return & Refund Policy;

  • Shipping Policy; and

  • Any additional policies, notices, or terms expressly made applicable to a particular product, promotion, or feature.

Please read these Terms carefully before accessing or using the Services.

By accessing, browsing, interacting with, or using the Services, or by placing an order through our website, you agree to be bound by these Terms and the policies incorporated into them.

If you do not agree to these Terms, you should not access or use the Services or place an order.

Nothing in these Terms excludes, restricts, or waives any consumer right or remedy that cannot lawfully be excluded, restricted, or waived under applicable law.


SECTION 1 — ELIGIBILITY AND ACCESS

By using the Services, you represent that you are legally capable of entering into a binding agreement under the laws applicable to you.

If you permit a minor to access or use the Services through a device, account, or payment method under your control, you are responsible for that access to the extent permitted by applicable law.

You may be required to provide information including your name, email address, billing information, payment information, and shipping information.

You represent that information you provide to us is accurate, current, and complete and that you have the legal right to provide and use such information.

You are responsible for maintaining the confidentiality and security of any account credentials associated with the Services and for activity occurring through your account.

You may not use another person's identity, payment information, or account without authorization.


SECTION 2 — OUR PRODUCTS

Avero Circuits primarily sells made-to-order printed products.

Products may be manufactured, printed, fulfilled, and shipped by third-party fulfillment providers after an order is placed.

We make reasonable efforts to provide accurate product descriptions, images, dimensions, specifications, and other information.

However, digital representations of physical products may not perfectly reproduce the appearance of the final printed product.

Colors may appear differently depending on factors including:

  • Screen or device settings;

  • Display calibration;

  • Lighting conditions;

  • Printing materials; and

  • Manufacturing and printing processes.

Minor variations in color, dimensions, print positioning, or appearance that are normal characteristics of the applicable manufacturing and printing process do not, by themselves, constitute a defect.

This does not apply where a variation constitutes a defect, incorrect product, material misrepresentation, or other issue for which a remedy is required under applicable law.

We may modify or discontinue products, designs, product variations, specifications, or availability at any time before an order has been accepted.

We may limit the availability or quantity of products offered to any person, geographic region, or jurisdiction to the extent permitted by law.


SECTION 3 — MADE-TO-ORDER PRODUCTS

Our products are generally produced only after an order has been placed.

Because products are made to order, production may begin shortly after your order is submitted.

This affects our ability to cancel, modify, return, or exchange products.

Our rules regarding cancellations, defects, refunds, replacements, and returns are described in our Return & Refund Policy, which is incorporated into these Terms.

The made-to-order nature of our products does not limit any consumer right or remedy that cannot legally be waived.


SECTION 4 — ORDERS

Submitting an order constitutes an offer to purchase the products identified in your order.

Receipt of an automated order confirmation does not necessarily constitute final acceptance of an order.

We reserve the right, to the extent permitted by applicable law, to accept, decline, place on hold, or cancel an order for legitimate reasons including:

  • Product or design unavailability;

  • Fulfillment limitations;

  • Pricing or listing errors;

  • Suspected fraud or unauthorized payment activity;

  • Incorrect or incomplete order information;

  • Suspected abuse of our Services or policies;

  • Violation of these Terms;

  • Legal or regulatory requirements; or

  • Circumstances that reasonably prevent us from fulfilling the order.

If we cancel an order after payment has been collected and before the applicable products have been fulfilled, we will provide any refund required under applicable law.

We may contact you using the contact information provided with your order if additional information is necessary to process or fulfill it.

Please review your order carefully before submitting it.

Because products are made to order, we cannot guarantee that an order can be changed or canceled after it has been submitted or entered production.

Cancellation rights arising from shipping delays, inability to fulfill an order, or other circumstances governed by applicable law remain unaffected.


SECTION 5 — PERSONAL USE AND RESALE

Unless we expressly agree otherwise, products purchased through our website are intended for personal or household use.

You may not place orders using fraudulent, deceptive, automated, or abusive methods.

We reserve the right to limit quantities, reject orders, or cancel orders that reasonably appear to involve unauthorized resale, fraud, abuse, circumvention of purchasing limits, or other conduct inconsistent with these Terms, to the extent permitted by applicable law.


SECTION 6 — PRICES

Product prices are displayed on our website at the time of purchase.

Prices, promotions, discounts, and product availability may change without notice before an order is placed.

The price applicable to your purchase will generally be the price presented during checkout when you submit the order, subject to correction of genuine errors as described in these Terms.

Prices may not include applicable taxes, shipping charges, or other charges unless expressly stated.

Any applicable charges will be presented during the ordering process where required.

Promotional offers may be subject to separate terms.

If promotional terms conflict with these Terms with respect to that promotion, the promotional terms will control for the promotion to the extent stated.


SECTION 7 — PRICING, LISTING, AND TECHNICAL ERRORS

Our website may occasionally contain typographical errors, inaccurate information, technical errors, or omissions relating to matters including:

  • Product descriptions;

  • Product images;

  • Pricing;

  • Discounts;

  • Promotions;

  • Availability;

  • Shipping charges;

  • Processing times; or

  • Other product or order information.

We reserve the right to correct genuine errors or inaccuracies.

If a material pricing or listing error affects an order, we may contact you before fulfillment to offer an appropriate correction or cancel the affected order and issue any required refund.

We will not use this section to retroactively change an accurately stated price after an order solely because we later prefer a different price.

Nothing in this section limits rights available under applicable consumer protection law.


SECTION 8 — BILLING AND PAYMENT

You agree to provide current, complete, and accurate billing, payment, shipping, and account information when placing an order.

By providing a payment method, you represent that:

  • You are authorized to use that payment method;

  • Information associated with the payment method is accurate; and

  • You authorize the applicable charges associated with your order.

You are responsible for charges associated with orders you validly authorize, including applicable product prices, shipping charges, and taxes.

Payments may be processed by third-party payment processors.

Your use of a third-party payment service may also be governed by that provider's terms and privacy practices.

We do not guarantee that every payment method will remain available at all times.


SECTION 9 — FRAUDULENT AND UNAUTHORIZED TRANSACTIONS

We may use fraud-prevention systems and may review orders that reasonably appear unusual, fraudulent, unauthorized, or abusive.

To the extent permitted by applicable law, we may:

  • Request additional verification;

  • Delay processing while verification takes place;

  • Decline an order;

  • Cancel an order; or

  • Restrict future purchasing activity.

We may share information reasonably necessary to investigate suspected fraud with payment processors, financial institutions, card networks, Shopify, fulfillment providers, service providers, or appropriate authorities in accordance with our Privacy Policy and applicable law.

Nothing in this section authorizes us to retain payment for an order that must legally be refunded.


SECTION 10 — RETURNS, REFUNDS, REPLACEMENTS, AND CANCELLATIONS

Returns, refunds, replacements, damaged products, manufacturing defects, incorrect products, lost shipments, and order cancellation requests are governed by our Return & Refund Policy.

Because our products are made to order, we generally do not accept returns, exchanges, or refunds solely because of change of mind, buyer's remorse, customer preference, or customer ordering errors, except where otherwise required by applicable law.

Damaged, defective, misprinted, or incorrect products must be handled in accordance with the claims process described in our Return & Refund Policy.

Nothing in these Terms expands or reduces the rights and remedies stated in the Return & Refund Policy or rights that cannot be waived under applicable law.

If these Terms and the Return & Refund Policy appear to conflict regarding a return, refund, replacement, damaged product, or claim, the Return & Refund Policy will control with respect to that issue, subject to applicable law.


SECTION 11 — SHIPPING AND DELIVERY

Shipping, order processing, delivery estimates, incorrect addresses, lost packages, unsuccessful deliveries, and packages marked as delivered are governed by our Shipping Policy and, where applicable, our Return & Refund Policy.

Shipping and delivery estimates are estimates unless expressly identified as guaranteed.

We may use third-party fulfillment providers and shipping carriers to manufacture, process, and deliver orders.

Delays caused by carriers, fulfillment providers, weather, transportation disruptions, or other circumstances outside our direct control may occur.

However, nothing in these Terms eliminates any obligation we have under applicable law relating to shipping delays, failure to ship within an applicable timeframe, cancellation rights, delay notices, or refunds.

If we cannot ship an order within a timeframe promised to you or within another timeframe imposed by applicable law, we will provide the notice, opportunity to consent to delay, cancellation option, or refund required by applicable law.

If we determine that an order cannot be fulfilled, we may cancel the order and issue the applicable refund.


SECTION 12 — SHIPPING INFORMATION PROVIDED BY THE CUSTOMER

You are responsible for providing complete and accurate shipping information.

Please review your shipping address before submitting an order.

Incorrect or incomplete shipping information may result in delays, unsuccessful delivery, additional production costs, additional shipping costs, or loss of a package.

Consequences of customer-provided incorrect or incomplete addresses are further described in our Return & Refund Policy and Shipping Policy.

Nothing in this section transfers responsibility to the customer for an error caused by us or limits a remedy required by applicable law.


SECTION 13 — THIRD-PARTY FULFILLMENT PROVIDERS

We may use independent third-party providers to print, manufacture, fulfill, and ship products.

These providers may receive order and shipping information reasonably necessary to perform these services.

They may also assist us in investigating claims involving damaged, defective, incorrect, delayed, or missing products.

The customer's purchase is made through Avero Circuits.

The involvement of a third-party print, fulfillment, or shipping provider does not, by itself, transfer Avero Circuits' obligations to the customer under these Terms or applicable law.

Our use and disclosure of personal information in connection with fulfillment providers is further described in our Privacy Policy.


SECTION 14 — INTELLECTUAL PROPERTY

The Services and content made available through them, including where applicable:

  • Artwork;

  • Designs;

  • Graphics;

  • Illustrations;

  • Logos;

  • Brand elements;

  • Product images;

  • Photographs;

  • Videos;

  • Text;

  • Website copy;

  • Layouts;

  • Website design;

  • Product names; and

  • Other original content,

may be owned by, licensed to, or otherwise lawfully used by Avero Circuits and may be protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers ownership of such intellectual property to you.

Except as permitted by applicable law or with our prior permission, you may not reproduce, copy, distribute, republish, commercially exploit, modify, create derivative works from, or sell our protected content.

Purchasing a physical product does not transfer copyright or other intellectual property rights in the artwork or design printed on that product.

You may use a purchased physical product for ordinary personal purposes.

All third-party trademarks, logos, service marks, and copyrighted materials remain the property of their respective owners.


SECTION 15 — COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS

We respect intellectual property rights.

If you reasonably believe that content available through our Services infringes your copyright, trademark, or other intellectual property rights, you may contact us at:

We may request additional information necessary to review the claim.

Nothing in this section limits any statutory notice or takedown procedure available under applicable law.

You may access and use the Services for lawful, personal, and non-commercial purposes consistent with these Terms.

You may not use the Services to:

  • Violate applicable law;

  • Commit or facilitate fraud;

  • Use stolen or unauthorized payment information;

  • Infringe intellectual property rights;

  • Impersonate another person or entity;

  • Submit false or misleading information;

  • Interfere with the operation or security of the Services;

  • Introduce malicious software or code;

  • Circumvent security or access controls;

  • Harvest personal information without authorization;

  • Conduct phishing, spam, or similar abusive activity;

  • Manipulate reviews, orders, refunds, claims, promotions, or payment processes;

  • Attempt to obtain products, refunds, replacements, or benefits through deception; or

Except where expressly authorized by us or permitted by applicable law, you may not use automated tools, bots, scrapers, spiders, crawlers, agents, or similar systems to:

  • Circumvent access restrictions;

  • Scrape protected content for commercial exploitation;

  • Interfere with website operation or security;

  • Place fraudulent or abusive orders; or

We may use reasonable technical measures to protect the Services against abusive automated access.

Nothing in this section restricts automated access that we expressly permit or that cannot lawfully be restricted.


SECTION 18 — FEEDBACK, REVIEWS, AND USER SUBMISSIONS

If you voluntarily submit reviews, suggestions, feedback, photographs, comments, or other materials to us (“User Content”), you represent that you have the right to provide that material.

You remain responsible for User Content you submit.

You agree not to submit content that:

  • Infringes intellectual property or privacy rights;

  • Is fraudulent or intentionally misleading;

  • Contains malicious software;

  • Is unlawful; or

  • Impersonates another person.

To the extent necessary for us to operate, improve, promote, and administer the Services, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and use User Content that you voluntarily provide to us, subject to applicable law and our Privacy Policy.

This license does not transfer ownership of your User Content to us.

We may remove User Content where we reasonably believe removal is appropriate due to illegality, infringement, fraud, abuse, violation of these Terms, or other legitimate reasons.


SECTION 19 — THIRD-PARTY TOOLS AND SERVICES

The Services may include or integrate tools, applications, payment services, analytics systems, advertising technologies, social media functionality, or other services operated by third parties.

We do not necessarily control these third-party services.

Use of a third-party service may be subject to the third party's own terms and privacy policies.

To the extent permitted by applicable law, we are not responsible for independent third-party services that are outside our reasonable control.

Nothing in this section limits liability that cannot legally be excluded.


SECTION 20 — THIRD-PARTY LINKS

Our Services may contain links to websites or resources operated by third parties.

A link does not necessarily mean that we endorse or control the third-party website, product, service, content, or business.

If you choose to access third-party websites, your use of those websites may be governed by their own terms and privacy policies.

To the extent permitted by law, we are not responsible for independent third-party websites or services that are outside our control.


SECTION 21 — RELATIONSHIP WITH SHOPIFY

Avero Circuits is powered by Shopify, which provides technology used to operate our online store.

Purchases made through our store are transactions with Avero Circuits and not purchases from Shopify.

Shopify is not the seller of the products offered by Avero Circuits.

Your use of certain Shopify-provided functionality may also involve Shopify's own terms, policies, and privacy practices.

Nothing in these Terms creates obligations for Shopify beyond those it separately assumes under agreements or law applicable to Shopify.


SECTION 22 — PRIVACY

Our collection, use, disclosure, and processing of personal information is described in our Privacy Policy.

Because our store is hosted using Shopify and uses third-party service providers, personal information may also be processed by Shopify and other providers in connection with operation of the Services, payment processing, fulfillment, shipping, analytics, fraud prevention, advertising, customer support, and related activities.

SECTION 23 — PAYMENT DISPUTES AND CHARGEBACKS

If you experience an issue with an order, we encourage you to contact us at averocircuits@gmail.com so that we have an opportunity to investigate and resolve the matter.

If you initiate a chargeback or other payment dispute, we may provide relevant information to the payment processor, bank, card issuer, payment network, or other entity reviewing the dispute.

Relevant information may include:

  • Order information;

  • Payment records;

  • Shipping records;

  • Tracking information;

  • Proof of fulfillment or delivery;

  • Communications;

  • Claim evidence; and

  • Records of refunds or replacements.

Nothing in this section restricts or waives your lawful right to dispute a transaction or exercise protections available through your payment provider.


SECTION 24 — SUSPENSION, REFUSAL OF SERVICE, AND TERMINATION

To the extent permitted by applicable law, we may restrict access to the Services, refuse future orders, suspend an account, or terminate access where we reasonably determine that a user has:

  • Violated these Terms;

  • Engaged in fraud;

  • Used unauthorized payment information;

  • Intentionally abused our return, refund, replacement, or claims processes;

  • Attempted to compromise the security or operation of the Services; or

  • Used the Services for unlawful purposes.

Termination or restriction of future access does not eliminate payment, refund, fulfillment, or other obligations relating to an existing order where such obligations remain under applicable law.

If we cancel a paid but unfulfilled order, we will provide any refund required by applicable law.


SECTION 25 — DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SERVICES, AND WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DO NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE OF TECHNICAL ERRORS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES REGARDING THE WEBSITE OR SERVICES THAT MAY LAWFULLY BE DISCLAIMED.

  • ANY RIGHT RELATING TO A DEFECTIVE, INCORRECT, OR MISREPRESENTED PRODUCT THAT CANNOT LAWFULLY BE WAIVED; OR

  • ANY OTHER CONSUMER PROTECTION REQUIRED BY APPLICABLE LAW.

SOME STATES OR JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


SECTION 26 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AVERO CIRCUITS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PURCHASE OF PRODUCTS WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT RESPONSIBLE FOR LOSSES RESULTING SOLELY FROM EVENTS OUTSIDE OUR REASONABLE CONTROL.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY LAW.

IN PARTICULAR, NOTHING IN THESE TERMS IS INTENDED TO LIMIT:

  • LEGALLY REQUIRED REFUNDS;

  • NON-WAIVABLE CONSUMER RIGHTS;

  • LIABILITY FOR FRAUD OR INTENTIONAL MISCONDUCT WHERE IT CANNOT BE LIMITED;

  • RIGHTS OR REMEDIES RELATING TO DEFECTIVE PRODUCTS THAT CANNOT BE WAIVED; OR

  • ANY OTHER LIABILITY THAT APPLICABLE LAW PROHIBITS US FROM EXCLUDING OR LIMITING.

IF APPLICABLE LAW DOES NOT PERMIT A PARTICULAR LIMITATION IN THIS SECTION, THAT LIMITATION WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED.


SECTION 27 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Avero Circuits and its service providers from third-party claims, liabilities, damages, and reasonable costs arising directly from:

  • Your material violation of these Terms;

  • Your unlawful use of the Services;

  • Your infringement of another person's intellectual property or other legal rights; or

  • Fraudulent or intentionally wrongful conduct by you.

This section does not require you to indemnify us for our own unlawful conduct, negligence where indemnification is prohibited, product defects attributable to us or our providers, or any matter for which indemnification cannot lawfully be imposed on you.


SECTION 28 — EVENTS OUTSIDE OUR REASONABLE CONTROL

Our ability to operate the Services or fulfill orders may be affected by events outside our reasonable control, including severe weather, natural disasters, transportation disruptions, carrier disruptions, labor disputes, supply interruptions, widespread technical outages, government actions, emergencies, or similar events.

We will not be responsible for delay caused solely by such events to the extent permitted by applicable law.

However, this section does not eliminate any right to notice, cancellation, refund, or another remedy that applicable law provides when an order is delayed or cannot be fulfilled.


SECTION 29 — CHANGES TO PRODUCTS AND SERVICES

We may modify, suspend, or discontinue website features, designs, products, or other Services at any time.

Changes generally apply prospectively.

If we discontinue or become unable to provide a product after accepting payment for an order, we may cancel the affected order and issue the applicable refund.

We will not substitute a materially different product for the product ordered without authorization where customer authorization is required by applicable law.


SECTION 30 — CHANGES TO THESE TERMS

We may revise these Terms from time to time by publishing an updated version on our website.

The “Last updated” date at the top of these Terms indicates when the current version was published.

Changes will apply prospectively unless applicable law permits otherwise.

The version applicable to a purchase will generally be the version made available at the time the order was placed.

We will not retroactively eliminate rights already applicable to a completed transaction where doing so is prohibited by law.

Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.


SECTION 31 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or severed to the minimum extent necessary.

The remaining provisions will continue in effect unless applicable law requires otherwise.


SECTION 32 — NO WAIVER

Our failure or delay in exercising a right or enforcing a provision of these Terms does not constitute a waiver of that right or provision.

A waiver in one circumstance does not constitute a continuing waiver or a waiver in any other circumstance unless expressly stated.


SECTION 33 — ENTIRE AGREEMENT

These Terms, together with the policies and additional terms expressly incorporated by reference, constitute the agreement governing your use of the Services and purchases through our website.

If there is a specific conflict between these Terms and another Avero Circuits policy regarding the subject matter specifically governed by that policy:

  • The Return & Refund Policy controls issues relating to returns, refunds, replacements, cancellations, damaged or defective products, and related claims;

  • The Shipping Policy controls issues specifically relating to shipping and delivery; and

  • The Privacy Policy controls the collection, use, disclosure, and processing of personal information.

In every case, applicable law controls where it provides a right or obligation that cannot be modified by agreement.


SECTION 34 — ASSIGNMENT

You may not assign or transfer rights or obligations under these Terms in a manner that materially affects our rights without our prior consent, except where applicable law provides otherwise.

We may transfer or assign our rights and obligations in connection with a legitimate transfer, restructuring, sale, or operation of the business, provided that doing so does not unlawfully reduce rights already applicable to your purchase.


SECTION 35 — APPLICABLE LAW

These Terms and transactions made through the Services are subject to applicable law.

Nothing in these Terms is intended to deprive a customer of mandatory protections available under applicable federal, state, or local law.

Where applicable law conflicts with a provision of these Terms and that law cannot validly be waived or modified by agreement, the applicable law will control to the extent of the conflict.

Section titles and headings are included for convenience and organization only.

They do not limit or otherwise affect the interpretation of these Terms.

Provisions that by their nature should continue after termination or completion of a transaction will survive as appropriate.

These may include provisions relating to intellectual property, payment obligations, fraud, dispute records, warranty limitations, limitations of liability, indemnification, severability, and other provisions that logically continue after use of the Services ends.
